On 5 December 1994 FC Schalke 04 became the first club in Germany to adopt a constitution that had been structured in association with the German Football Association (DFB) and is considered exemplary for the rest of the Bundesliga. The club now has the following organisational structure:
Has a minimum of two and a maximum of four members.
a. Management of the club under personal responsibility
b. Representation of the club both in and out of court
c. Preparation of a budget
d. Reporting to the supervisory board
e. Preparation of the annual financial statements
Maximum of 11 members (six elected by the general meeting, one by the sport committee, one representative of the national association of supporters clubs, and as many as three appointed by the supervisory board)
a. Appointment and dismissal of the managing board
b. Supervision of the management
c. Approval of the annual financial statements
d. Approval of the finance plan and the annual report
e. Approval of major transactions proposed by the managing board
a. Acceptance of reports submitted by the club bodies
b. Ratification of the actions of the managing and supervisory boards
c. Election of members to the supervisory board
d. Election of members to the honorary board
e. Election of members to the elections committee
f. Appointment and dismissal of honorary members and presidents
g. Fixing of membership subscriptions and any extraordinary levies
h. Decision on resolutions submitted
i. Decision on all proposed changes to the constitution
j. Decision on the dissolution of the club
